You agree to defend, indemnify, and hold harmless Stack Max LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use or misuse of the service; (b) your violation of these Terms; (c) your infringement of any third-party intellectual property or other rights through your use of the platform; or (d) any claim by a third party arising from a URL you submitted for analysis.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STACK MAX LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY STACK MAX LLC OR ITS AUTHORIZED REPRESENTATIVES WILL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STACK MAX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total aggregate liability for any claims arising under or related to these Terms shall not exceed the total fees paid by you to PitchGen in the three (3) months immediately preceding the event giving rise to the claim. The foregoing limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

Neither party shall be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, governmental actions, internet or telecommunications failures, power outages, or failures of third-party service providers (including cloud hosting and AI model providers). If such circumstances persist for more than 30 days, either party may terminate the agreement with written notice.

16. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the use of PitchGen (collectively, "Disputes") shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, rather than in court. The arbitration shall be conducted in English. You and Stack Max LLC each waive the right to a jury trial.

No Class Actions: All Disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm. Disputes under $10,000 USD may be brought in small claims court.

Opt-Out: You may opt out of binding arbitration within 30 days of first using the service by emailing support@pitchgen.io with the subject line "Arbitration Opt-Out." If you opt out, disputes will be resolved in Wyoming courts as described in Section 17.

17. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Subject to Section 16, any disputes not subject to arbitration shall be resolved in the state or federal courts located in Wyoming, USA, and both parties consent to personal jurisdiction in those courts.

18. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes through our website or email at least 14 days before the changes take effect. Continued use of our services after changes take effect constitutes acceptance of the new terms. If you do not agree to the revised terms, you must stop using the service before the effective date.

19. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Cancellation Policy, and Service Delivery Policy, constitute the entire agreement between you and Stack Max LLC regarding the service and supersede all prior agreements, representations, and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce that or any other provision in the future.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
